These Terms and Conditions ("Agreement") constitute a legally binding contract under the Indian Contract Act, 1872 between:
- welleservices, a proprietorship / service provider registered in India, operating the Expo Lead CRM platform, having its registered office at #30, First Floor, Near Villapuram Arch, Aruppukottai Main Road, Villapuram, Madurai, Tamil Nadu – 625012, India. GSTIN: 33DYGPS5323M1Z1 ("Company", "We", "Us", "Our").
- The individual or legal entity ("Subscriber", "Tenant", "User") registering or accessing the Expo Lead CRM service.
By clicking "I Agree", completing registration, or using any feature of Expo Lead CRM, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all applicable Indian laws.
1. Definitions
- Platform: The Expo Lead CRM software-as-a-service (SaaS) application accessible at ieeeapp.com and its subdomains.
- Tenant: A registered business entity or individual with an isolated workspace account on the Platform.
- User / Sales Representative: Any person authorized by a Tenant to access the Platform under a seat allocation.
- Lead Credit: A prepaid digital unit consumed upon each successful trade show visitor lead capture.
- Subscription Plan: A monthly recurring tier that includes a pre-allocated Lead Credit quota.
- Personal Data: As defined under the Digital Personal Data Protection Act, 2023 (DPDP Act).
2. Nature of Service
Expo Lead CRM is a multi-tenant SaaS platform enabling trade show and exhibition exhibitors to:
- Capture booth visitor leads digitally via manual entry, QR code, or AI Vision business card scanning (OCR).
- Manage trade show pipelines using Kanban board, tasks, and follow-up workflows.
- Process direct point-of-sale (POS) transactions at exhibition booths.
- Execute email marketing broadcast campaigns to captured leads.
- Generate automated GST-compliant PDF tax invoices and sales receipts.
- Access RESTful API integrations and outbound webhook notifications (Enterprise plan).
3. Eligibility & Account Registration
The Platform is intended for business-to-business (B2B) use by organizations and individuals above 18 years of age. By registering:
- You represent that you are duly authorized to enter into this Agreement on behalf of your company or organization.
- You warrant that all registration information provided is accurate, current, and complete.
- You agree to immediately update your account information in the event of any changes.
- You accept full responsibility for all activities conducted under your registered Tenant workspace.
4. Tenant Workspace Isolation & Multi-Tenant Security
Each Tenant is assigned a logically isolated digital workspace governed by database-level global scoping. Tenants shall:
- Not attempt unauthorized access to any other Tenant's data, workspace, or API endpoints.
- Maintain confidentiality of admin credentials, API keys, and team invitation tokens.
- Promptly notify us at expo.support@welleservices.com of any suspected unauthorized access or data breach.
Cross-tenant data access or breaches attempted by a Tenant shall constitute an offence under Section 66 of the Information Technology Act, 2000 and may result in immediate account termination and legal action.
5. Acceptable Use Policy
Tenants and Users shall not use the Platform to:
- Capture or store visitor personal data without the data principal's explicit, free, and informed consent as required under the Digital Personal Data Protection Act, 2023.
- Transmit unsolicited commercial communications (spam) in violation of the Telecom Commercial Communications Customer Preference Regulations (TCCCPR).
- Store, distribute, or transmit any computer contaminant, virus, or malicious code (Section 43 & 66 of IT Act, 2000).
- Upload obscene, defamatory, or content infringing third-party intellectual property rights.
- Impersonate any person or entity or misrepresent your affiliation.
- Attempt to reverse-engineer, decompile, or extract the Platform's source code.
Violation of the Acceptable Use Policy constitutes grounds for immediate suspension under Section 79(3) of the IT Act, 2000.
6. Subscription Plans, Lead Credits & Billing
Access to the Platform is governed by monthly Subscription Plans as configured by the Platform Administrator. All subscription fees are:
- Billed in Indian Rupees (INR ₹) inclusive of applicable 18% GST as per the Goods and Services Tax Act, 2017.
- Payable in advance at the beginning of each monthly billing cycle.
- Processed via Razorpay, an RBI-authorized Payment Aggregator, through secure channels.
Each successful visitor lead capture consumes one (1) Lead Credit. Lead Credits are non-transferable between Tenant accounts and expire as specified in the selected subscription plan.
7. Intellectual Property Rights
All platform components, code, UI designs, trademarks, logos, and content developed by welleservices are the exclusive intellectual property of the Company and are protected under the Copyright Act, 1957 and Trade Marks Act, 1999. The Tenant Data (leads, company records) uploaded by the Tenant remains the property of the Tenant. The Company does not claim ownership over Tenant-generated data.
8. Limitation of Liability
To the maximum extent permitted by applicable Indian law, the Company's aggregate liability to any Tenant arising under or in connection with this Agreement shall not exceed the total fees paid by such Tenant for the three (3) months immediately preceding the event giving rise to the claim. The Company shall not be liable for:
- Loss of profits, revenue, business opportunity, or data arising from platform usage.
- Service interruptions due to exhibition venue connectivity failures, ISP outages, or force majeure events.
- Consequences arising from the Tenant's failure to back up their own data.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of courts in Madurai, Tamil Nadu, India. Prior to initiating legal proceedings, parties agree to attempt resolution through good-faith mediation within 30 days.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. Tenants will be notified via email and in-app notice at least 15 days prior to material changes taking effect, in compliance with the Consumer Protection (E-Commerce) Rules, 2020. Continued use after the effective date constitutes acceptance of the revised Terms.
